Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Lingxi API (the “Service”), operated by LingXi Cloud Inference Co., Ltd. and its affiliates (“we,” “us,” or “our”). By creating an account, signing in (including via Telegram), or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

We provide programmatic access to third-party and proprietary AI models through an API, along with related account, billing, and usage features. We may modify, suspend, or discontinue any part of the Service with reasonable notice where practicable.

3. Eligibility and accounts

You must be legally able to enter a binding contract in your jurisdiction. You authenticate using Telegram as offered on our platform. You are responsible for all activity under your account and for keeping your credentials and API keys confidential. Notify us promptly of any unauthorized use.

4. API keys and acceptable use

API keys are personal to your account. You may not share keys in a way that allows others to bypass account limits or billing. You agree not to use the Service to:

  • Violate applicable laws or third-party rights;
  • Generate or facilitate malware, fraud, harassment, or illegal content;
  • Attempt to gain unauthorized access to our systems, other users’ data, or underlying model providers;
  • Overload or disrupt the Service (e.g., abusive scraping or denial-of-service);
  • Resell or redistribute the Service in violation of our pricing or technical limits without our written consent.

We may suspend or terminate access for violations or risk to the Service or other users.

5. Fees, balance, and top-ups

Usage is billed according to the rates published on the platform (e.g., per token or per request). You maintain a prepaid balance. Top-ups may be processed via methods we support (such as USDT on designated networks). You are responsible for sending correct amounts to the correct address and network. Credits are applied after we confirm payment according to our processes. Fees are non-refundable except where required by law or at our sole discretion.

6. Third-party models and outputs

The Service routes requests to underlying model providers. Outputs are generated by those systems; we do not guarantee accuracy, fitness for a particular purpose, or non-infringement. You are responsible for how you use outputs, including compliance with laws and provider terms where applicable.

7. Intellectual property

We retain rights in the Service, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the API for your internal or end-user applications. You retain rights to your inputs and to outputs to the extent allowed by law and provider policies.

8. Disclaimer of warranties

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the fullest extent permitted by law, we and our suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability for claims arising out of the Service in any twelve-month period is limited to the fees you paid us for the Service in that period (or, if none, one hundred U.S. dollars). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.

10. Indemnity

You will defend and indemnify us against claims arising from your use of the Service, your content, or your violation of these Terms, except to the extent caused by our willful misconduct.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach, risk, legal requirements, or discontinuation of the Service. Provisions that by nature should survive (e.g., liability, indemnity) will survive termination.

12. Changes

We may update these Terms by posting a revised version and updating the “Last updated” date. Continued use after changes constitutes acceptance. If you do not agree, discontinue use.

13. Governing law

These Terms are governed by the laws applicable in the People’s Republic of China, without regard to conflict-of-law principles, unless mandatory consumer protections in your country require otherwise. Courts with competent jurisdiction in Beijing, China, shall have exclusive jurisdiction, subject to those mandatory rules.
